By accessing or using the Novchat platform, you agree to be bound by these Terms and Conditions. Please read them carefully before using our WhatsApp and Instagram chatbot services or our Email and SMS marketing tools.

1. Services Provided

Novchat provides a cloud-based platform that allows users to automate conversations on WhatsApp and Instagram via chatbots and manage marketing campaigns through SMS and Email. These services are provided "as is" and are subject to the limitations of third-party APIs (such as Meta's WhatsApp Business API).

2. Compliance with Third-Party Policies

When using our chatbot services for WhatsApp and Instagram, you must strictly adhere to:

• The WhatsApp Business Solution Terms and Commerce Policy.
• Meta’s Community Standards and Instagram’s Terms of Use.
• Any violation of these third-party terms may result in the immediate suspension of your Novchat account without a refund.

3. Marketing Regulations (Anti-Spam)

You are solely responsible for ensuring that your Email and SMS marketing campaigns comply with local and international laws (e.g., GDPR, CAN-SPAM Act, TCPA). You warrant that you have obtained explicit consent from all recipients before sending any marketing communications through our platform.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Novchat is not liable for any loss resulting from unauthorized access to your account due to your failure to secure your information.

5. Payments, Subscriptions, and Refunds

• Billing: Subscription fees are billed in advance on a monthly or annual basis.
• Usage Charges: Additional charges apply for WhatsApp messages (marketing, utility, or authentication) as per Meta’s current rate card.
• Refunds: Unless required by law, all payments are non-refundable. You may cancel your subscription at any time, and you will retain access until the end of your current billing cycle.

6. Prohibited Content

You may not use Novchat to send content that is illegal, fraudulent, defamatory, or promotes prohibited industries (such as gambling, adult content, or unlicensed financial services) as defined by our platform or our partners.

7. Limitation of Liability

To the maximum extent permitted by law, Novchat shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising out of your use or inability to use the platform.

8. Intellectual Property

The Novchat name, logo, and platform software are the exclusive property of Novchat. You are granted a limited, non-exclusive license to use the platform for your business purposes for the duration of your subscription.

9. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, if we believe you have breached these Terms or if your actions risk the reputation or technical integrity of our platform.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of EU, without regard to its conflict of law provisions.
